TERMS AND CONDITIONS

1. ABOUT US AND THESE TERMS

These are the Terms and Conditions on which Generation UCAN Ltd
(“we”, “us”, “our”) supply products to you (“you”, “your”) through
our website at www.generationucan.com.au.

We are a company registered in England and Wales (company number
13974596) with our registered office at 85 Great Portland Street,
First Floor, London W1W 7LT. We trade in Australia as Generation
UCAN Australia under ARN 3000 2265 9464, and we ship orders from
our warehouse in Moorebank, NSW.

By placing an order through our website, you agree to these Terms.
Please read them carefully before ordering. If you do not agree,
please do not use the site.

We may update these Terms from time to time. The version that applies
to your order is the version published on our website at the time you
place the order.

2. ELIGIBILITY

To buy from us, you must be at least 18 years old. Our products are
formulated supplementary sports foods and are not suitable for children
under 15 years of age, pregnant women, or people on restricted diets
without medical advice.

3. ORDERS AND CONTRACT FORMATION

When you place an order, you make us an offer to buy the products.
A binding contract is formed only when we send you an order
confirmation by email confirming dispatch.

We may decline an order at our discretion, including (but not limited
to) where:
– A product is out of stock
– We identify a pricing or product description error
– We are unable to verify your payment
– The order is suspected to be fraudulent

If we decline your order after payment, we will refund you in full
within 5 business days.

4. PRICES AND PAYMENT

All prices are shown in Australian Dollars (AUD) and include GST
where applicable.

GST-registered. Confirm with your accountant. If you remain registered:
keep “include GST”; if you deregister: replace with “GST is not
applicable — Generation UCAN Ltd is not currently registered for GST.”]

Delivery charges are additional and shown at checkout.

We accept payment by credit and debit card and other methods supported
by our payment processor, Stripe. Payment is taken at the time you
place your order.

If you are GST-registered and require a tax invoice showing our ARN,
this is automatically issued with your order confirmation.

International Transaction Fees

Generation UCAN Ltd is registered in the United Kingdom. Some Australian and New Zealand banks charge an international transaction fee (typically 2–3% of the purchase amount) on transactions processed by overseas merchants, even when the price is shown in AUD or NZD. If your bank has charged you this fee on a purchase from us, we are happy to refund it as a goodwill gesture.

To claim a refund:

Contact us at sales@generationucan.com.au within 30 days of your order
Include your order number
Attach a screenshot or statement showing the fee charged by your bank

Refunds will be processed to your original payment method within 5 business days of confirmation

5. PROMOTIONAL CODES

We may issue promotional codes from time to time. Each code has its
own terms (minimum spend, expiry, eligible products) which will be
shown when the code is issued.

We reserve the right to withdraw, cancel or modify codes at our
discretion, including where we suspect fraud, abuse or technical
errors. Promotional codes cannot be combined unless expressly stated.

6. DELIVERY

We ship within Australia and to New Zealand from our warehouse in
Moorebank, NSW.

Delivery times (estimates only, business days):
– Standard Australia: 3–5 business days
– Express Australia: 2 business days (orders placed before 12:00pm AEST)
– New Zealand: 5–10 business days

Delivery costs:
– Standard Australia: $12.50
– Express Australia: $22.00
– Standard New Zealand: $30.00
– Free standard Australian shipping on orders over $220
– Free standard New Zealand shipping on orders over $250

We use Australia Post as our primary carrier. Delivery times are
estimates and not guaranteed. We are not liable for delays caused by
the carrier, severe weather, or other events outside our control.

Risk in the products passes to you on delivery. Title passes to you
once we have received full payment.

7. CONSUMER GUARANTEES (AUSTRALIA AND NEW ZEALAND)

Our products come with guarantees that cannot be excluded under the
Australian Consumer Law (ACL) and the New Zealand Consumer Guarantees
Act 1993.

Under the ACL, you are entitled to a replacement or refund for a major
failure, and to compensation for any other reasonably foreseeable loss
or damage. You are also entitled to have the products repaired or
replaced if they fail to be of acceptable quality and the failure does
not amount to a major failure.

Nothing in these Terms excludes, restricts or modifies any consumer
guarantee, right or remedy that you have under the ACL or any other
law that cannot be lawfully excluded.

8. RETURNS AND REFUNDS

Our full Returns and Refunds Policy is set out separately and forms
part of these Terms. In summary:

– We accept returns of defective products within 14 days of delivery
– We do not accept change-of-mind returns due to the nature of
food/supplement products (hygiene reasons)
– Where a defect is confirmed, we offer either a full refund or a
replacement at our cost, and you do not need to return the product
unless we specifically request it
– These rights are in addition to your rights under the Australian
Consumer Law and the New Zealand Consumer Guarantees Act

9. GIFT CARDS

Gift cards purchased from generationucan.com.au are valid for 3 years
from the date of issue, in line with Australian gift card laws. Gift
cards cannot be redeemed for cash, are not refundable (except where
required by law), and any unused balance after expiry is forfeited.

10. INTELLECTUAL PROPERTY

The website and all its content (text, images, logos, trademarks,
product photography, design) are owned by or licensed to Generation
UCAN Ltd and protected by Australian, UK and international copyright
and trademark law.

You may not copy, reproduce, modify, republish, distribute, or
commercially exploit any content on the site without our prior
written consent. You may print or download extracts for personal,
non-commercial use.

“UCAN” and “LIVSTEADY” are trademarks of The UCAN Company and used
under licence.

11. LINKS TO OUR WEBSITE

You may link to our homepage in a way that is fair, legal, and does
not damage or take advantage of our reputation. We reserve the right
to withdraw permission to link at any time.

12. WEBSITE ACCURACY AND AVAILABILITY

We try to keep the website accurate and up to date but cannot guarantee
that all content is free from errors at all times. We reserve the
right to correct errors in product descriptions, pricing or stock
availability without notice.

We do not guarantee that the website will always be available or
free from interruptions. We may suspend or restrict access for
maintenance or other operational reasons.

13. LIMITATION OF LIABILITY

Subject to your rights under the Australian Consumer Law and any
other law that cannot be excluded:

– Our total liability to you for any loss or damage arising under
or in connection with your purchase is limited to the price you
paid for the relevant product
– We are not liable for any indirect, consequential, special,
incidental, or punitive loss or damage
– Nothing in these Terms excludes our liability for death or
personal injury caused by our negligence, fraud, or any other
liability that cannot be excluded by law

You are responsible for satisfying yourself that our products are
suitable for your purposes. If you have a medical condition, are
pregnant or breastfeeding, or are taking medication, you should
consult a healthcare professional before using our products.

14. INTERNATIONAL TRANSACTION FEES

Your bank may charge an international transaction fee on your purchase
because Generation UCAN Ltd is a UK-registered company. If your bank
charges this fee on an Australian or New Zealand transaction, contact
us at sales@generationucan.com.au with proof of the fee and we will
refund it as a goodwill gesture.

15. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of New South Wales, Australia.
You and we both submit to the non-exclusive jurisdiction of the
courts of New South Wales.

If you are a New Zealand consumer, you may also bring proceedings in
the courts of New Zealand under the New Zealand Consumer Guarantees
Act 1993.

Nothing in this clause limits your rights under the Australian
Consumer Law or any other law that cannot be lawfully excluded.
